1. Agreement
By accessing or using Formivera ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.
The Service is provided by JLP Ventures AB (org. nr 559580-4948) ("we", "us", "our"). "You" refers to the individual or organization accessing the Service.
The Service is intended for professional use by construction consultancies (B2B). Consumer protection legislation, including the Swedish Distance and Off-Premises Contracts Act (distansavtalslagen 2005:59), does not apply.
2. Service Description
Formivera is a SaaS platform for Swedish property consultants — inspectors (besiktningsmän), building control supervisors (kontrollansvariga), project managers (projektledare), and energy & indoor-climate consultants. It covers contractual and transfer inspections, building control under PBL, construction management, technical due diligence, maintenance planning, and statutory ventilation control (OVK) and energy declarations — and provides contract analysis, document generation, project management, invoicing, and automation.
3. Accounts & Registration
You must provide accurate and complete information during registration. You are responsible for maintaining the security of your account credentials. You must be at least 18 years old to use the Service. One person or organization may not maintain more than one free account.
4. Subscription & Billing
The Service is offered on a subscription basis. Prices are listed on our website and may change with 30 days notice. Subscriptions are billed monthly. You may upgrade, downgrade, or cancel at any time. Cancellation takes effect at the end of the current billing period. No refunds for partial months.
A free trial may be provided. No credit card is required for the trial.
5. Stripe Connect & Payments
Consultancies using the invoicing feature connect their own Stripe account via Stripe Connect. Formivera facilitates the payment flow. Stripe’s standard processing fees apply. You are responsible for your own Stripe account compliance.
6. Your Data
You retain all rights to data you upload or create in the Service. We do not claim ownership of your content. We process your data only to provide the Service, as described in our Privacy Policy.
You are responsible for the accuracy and legality of data you upload. You must not upload content that is illegal, infringing, or harmful.
7. AI-Generated Content
The Service includes AI-powered briefings, contract analysis, and report generation. AI-generated content is provided as a starting point and must be reviewed by you before use. We do not guarantee the accuracy of AI-generated content. You are responsible for reviewing and approving all generated documents before distribution.
7a. References to third-party copyrighted material
Formivera does not distribute, reproduce or substitute copyrighted standard works or industry publications. Generated documents reference paragraph numbers and functional headings as factual citations, accompanied by Formivera-authored summaries, never verbatim text from such sources.
Contract analysis features compare your uploaded contract against relevant rules. The analysis output (deviations, paragraph references, recommendations) is Formivera-authored interpretation.
You as the customer are presumed to have your own access to the standard works required for your professional practice. Formivera-generated text is Formivera's own prose based on public statutory sources, laws and general industry practice.
You agree that you will not represent Formivera-generated documents as substitutes for licensed standard works. End recipients are presumed to have their own access to the standard works the documents reference. Formivera provides analytical and document-automation tooling, not licensed standard texts.
8. Data Processing Agreement
For users in the EU/EEA, this agreement includes a Data Processing Agreement (DPA) as required by GDPR. By using the Service, you appoint us as a data processor. We process personal data only on your documented instructions. Details are in our Privacy Policy.
9. Acceptable Use
You must not: use the Service for illegal purposes, attempt to access other users’ data, reverse engineer the Service, send spam or unsolicited communications, exceed rate limits or abuse the API, or resell the Service without authorization.
10. Limitation of Liability
The Service is provided "as is" without warranties of any kind. We are not liable for indirect, incidental, or consequential damages. Our total liability is limited to the amount you paid us in the 12 months preceding the claim.
11. Termination and data retention
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We may suspend or terminate accounts that violate these Terms.
When your subscription ends, you retain access to your data for the remainder of the current billing period. Permanent deletion of personal data is performed via separate request under GDPR Art. 17 (see our Privacy Policy for instructions). Such requests are processed immediately upon submission. Invoices and accounting records are retained for 7 years per the Swedish Bookkeeping Act (BFL 7 kap 2§).
12. Changes to Terms
We may update these Terms with 30 days notice via email and in-app notification. Continued use after the effective date constitutes acceptance.
13. Governing Law
These Terms are governed by the laws of Sweden. Disputes shall be resolved in Swedish general courts.
